Affiliate program terms

§ 1 Scope and parties

(1) These terms govern participation in the LearnCastAI affiliate program. The contracting party is Provimedia GmbH, Weidenweg 12, 74321 Bietigheim-Bissingen, Deutschland (the "Provider"). The program is independent of the "refer a friend" program.

(2) Participation requires a LearnCastAI account, full legal capacity and truthful information. There is no right to be admitted; the Provider may suspend an affiliate account at any time for good cause.

§ 2 Commission

(1) The affiliate receives 30 % (standard rate) of the net amount, excluding VAT, of every subscription payment actually received from customers who signed up through the affiliate's link, for as long as the subscription runs and the affiliate account is active. The Provider may agree a different rate with an individual affiliate in text form. A changed rate applies to payments received after the change.

(2) No commission is paid on one-off purchases, on the affiliate's own accounts, or on customers who already had an account.

(3) A sign-up is attributed if it happens in the same visit after clicking the link or, if the visitor consented to all cookies, within 30 days. The first affiliate link wins.

(4) Changes to the standard rate are announced at least 30 days in advance by email.

§ 3 Holding period and reversals

A commission becomes payable 30 days after the customer's payment. It lapses if the customer withdraws, the payment is refunded or charged back, or the sign-up violates § 5. Commission already paid out for such a payment is offset against future commissions.

§ 4 Settlement by self-billing, payment

(1) Commissions are settled on the first of each month. The parties agree that the Provider issues the invoice for the affiliate's services as a self-billing invoice ("Gutschrift", § 14 (2) sentence 5 German VAT Act). The affiliate consents to receiving it as a PDF by email; it is also available in the partner area. The affiliate may object to a self-billing invoice at any time; in that case the affiliate issues the invoice.

(2) Depending on the stated tax status: private individuals receive a commission statement without VAT; small businesses (§ 19 German VAT Act) a self-billing invoice without VAT; VAT-registered German businesses a self-billing invoice with statutory VAT, which is paid in addition; businesses outside Germany a self-billing invoice without VAT under the reverse-charge mechanism. The affiliate is responsible for the correctness of the stated tax status and for taxing their own income.

(3) Payment is made in euros by bank transfer to the IBAN on file, with no minimum amount. Commissions from payments in another currency are converted at the ECB euro reference rate of the payment day (or the last published day before).

§ 5 Promotion rules

(1) The affiliate must clearly mark recommendations as advertising, for example "Ad" or "Affiliate link" (§ 5a (4) UWG, § 6 DDG).

(2) Not permitted: unsolicited messages (spam); bidding on "LearnCastAI" or confusingly similar terms in search ads; misleading statements, own discounts or price promises; forced redirects or cookie stuffing; paying people to sign up without the Provider's consent; promotion on unlawful websites; signing up oneself or relatives through one's own link.

(3) The Provider's name and logo may only be used as provided. The affiliate indemnifies the Provider against third-party claims arising from the affiliate's culpable violations.

§ 6 Term and termination

Either party may terminate at any time in text form. Commissions earned until then are settled. In the event of material violations the Provider may terminate without notice; commissions resulting from the violation lapse.

§ 7 Data protection

The Provider processes the affiliate's details (name, address, tax data, bank details) to perform this contract and to meet statutory retention duties (Art. 6 (1) (b) and (c) GDPR); statements are retained for eight years. Affiliates receive no personal data about the customers they refer. Details: privacy policy.

§ 8 Final provisions

German law applies. Changes to these terms are announced at least 30 days in advance by email; the affiliate may terminate before they take effect. Should a provision be invalid, the remaining provisions remain unaffected.
